Terms & Conditions
The following terms and conditions apply to Allegiant Plumbing LLC's Commercial New Customer Application and govern credit purchases of labor and materials.
Agreement
The terms and conditions of this Commercial New Customer Application ("Application") shall, upon extension of credit to the Applicant (hereinafter known as "Customer") by Allegiant Plumbing LLC, any of its subsidiaries, branches, affiliates or divisions now existing or hereafter created (hereinafter collectively referred to as "Allegiant"), constitute a legally binding contract between Customer and Allegiant and shall supersede any and all conditions set forth in Customer's Purchase Order, whether the order is written or verbal. Any changes to this contract must be agreed to by both Customer and Allegiant in writing.
Purchase
In order to purchase Labor/Materials (as defined below) on credit, the Customer must submit an offer for payment in exchange for Labor/Materials in conformance with Allegiant's then current Labor/Materials Pricing ("Order"). Allegiant will accept that Order by shipping the Labor/Materials to the Delivery Point (as defined below). Orders that are not accompanied by payment shall be made on credit, in compliance with the provisions set out below.
Delivery
Allegiant, at Customer's request, shall deliver the requested products sold by Allegiant ("Labor/Materials") to a location designated by Customer that is acceptable to Allegiant ("Delivery Point"). All titles, risk of loss and/or damage shall pass to Customer immediately upon delivery at Delivery Point, even if Customer is not present. For direct shipments from manufacturers, title and risk of loss and/or damage passes to Customer at Delivery Point at time of delivery at Delivery Point. Customer shall inspect the Labor/Materials and must notify Allegiant of any shortages or improper delivery within 24 hours of delivery. Customer understands that all delivery dates are estimates and Allegiant shall not be responsible for failure or delay in delivery. Customer waives all claims for damages arising from delays in delivery, regardless of the cause. Requested deliveries may be cancelled by the Customer only if agreed to by Allegiant and upon payment of reasonable charges based upon expenses already incurred and commitments made by Allegiant.
Returns
Allegiant will accept return of material from Customer for credit upon written approval from Allegiant. Not all material will be accepted for return. Materials not acceptable for return may include but are not limited to special order, damaged, dirty or incomplete Materials. Returns may be subject to a restocking fee depending on the condition of the Materials and the manner in which the material is returned. Material will not be accepted for return if no request has been made. A written request for approval of return must be sent by Customer to Allegiant within 30 days of the date of delivery in order to be considered by Allegiant.
Limited Warranty
For new installations and new construction, Allegiant has a one-year workmanship warranty on plumbing work which runs from the date of completion. For service and repair calls on existing systems, Allegiant has a thirty-day workmanship warranty on plumbing work which runs from the date of completion. All warranty terms and conditions related to any Labor/Materials provided by Allegiant are set forth on Allegiant's website at allegiantplumbing.com/warranty and those terms, as amended from time to time, are incorporated herein as if fully rewritten here. This is the only warranty offered by Allegiant and THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AND ALLEGIANT EXPRESSLY DISCLAIMS THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Customer agrees that its exclusive remedy against Allegiant for breach of any contract, warranty and/or any other duty arising out of the sale or use of Labor/Materials shall be as described on Allegiant's website. Under no circumstances shall Allegiant's liability exceed the purchase price of the Labor/Materials, regardless of the cause without exception.
Security Interest
In consideration for Allegiant allowing Customer to purchase Labor/Materials on credit, Customer hereby grants to Allegiant a lien on and a security interest in all of Customer's rights and interests in all products, Labor/Materials distributed by Allegiant, whenever sold, consigned, leased, rented or delivered, directly or indirectly, to or for the benefit of the Customer by Allegiant ("Collateral"). The Collateral secures the payment and performance of all of Customer's obligations under this contract, together with all accrued and accruing interest and charges, plus all costs incurred by Allegiant in collecting or enforcing the obligations, and/or in preserving, protecting or realizing on the Collateral. Customer hereby appoints Allegiant as its lawful agent and attorney-in-fact (with full powers of substitution) for the following purposes: executing on Customer's behalf and in Customer's name, all financing statements, financing statement changes, continuation statements, and other documents required in order to give Allegiant a continuing lien upon all or any part of the Collateral, and endorsing or collecting on Customer's behalf and in Customer's name all checks made payable by anyone jointly to Customer and Allegiant.
